• Our limitations and restrictions as a mobile platform; and,
• Our intellectual property rights.

By accessing and using Kolaker, you agree that you have read, understood, and accepted the Terms stated including any additional conditions and policies referenced.

Reminder: User(s) below the legal age of 18 MUST obtain consent from parent(s) or legal guardian(s), who by accepting these Terms shall agree to take responsibility for your actions and any charges associated with your use of the Platforms and/or purchase of services.

Use of the platforms and company account

You need to register for a Kolaker account for you to use the Platform. We will ask you to provide us with your personal information including but not limited to the matters mentioned in the Privacy Policy.

For every transaction you make, you are obliged to provide complete, accurate, and truthful information required for the proper processing of the bookings at all times.

KolakerApps Inc. shall not be liable for bookings that resulted in delay or cancellation issues due to incomplete, incorrect, or missing information that you provided. Refer to our Booking Terms & Conditions for more information.

Restrictions & Account Suspension

We may terminate or suspend Your Account immediately, without prior notice or liability, if You breach these Terms and Conditions:

1. Someone other than you is using the account or Platform;
2. Where you are suspected or discovered to have been involved in any activity or conduct that is in breach of these Terms, policies, and guidelines or involved in activity or conduct which the Company deems in its sole discretion to be an abuse of the Platforms.

The following is a non-exhaustive list of the types of conduct that are illegal or prohibited on the Platforms. Prohibited activities include, but are not limited to the following:

1. Using the Platforms for any purpose in violation of laws;
2. Posting anything unlawful, obscene, defamatory, threatening, abusive, harassing, slanderous, cyberbullying, hateful or embarrassing to any other persons or entity as determined by the company in its sole discretion;
3. Posting any personal information of any individuals;
4. Collecting information about others without the latter’s consent or which that violates the privacy of others;
5. Posting anything which promotes any illegal and/or immoral activity such as exploits, harms, or threatens to harm others;

The company reserves the right but is not obligated to do any or all of the following:

1. Investigate an allegation that any content posted on the Platforms does not conform to these Terms and determine in its sole discretion to remove or request the removal of the content;
2. Remove content that is abusive, illegal, immoral, or fails to conform with these Terms.

LIMITATION OF LIABILITY

The Healthcare Professionals and Providers are directly liable for the services rendered to you due to the contractual relationship.

Under no circumstance will KolakerApps Inc. including its employees, officers, agents, and representatives be liable to you for, and you hereby knowingly and voluntarily release the company from any of the following:

• Claim relating to any loss or damage that you might directly or indirectly suffer as a result of your use of the Platform, and/or services provided by the Healthcare Professionals and Providers.
• Actions and behavior of the healthcare professionals and providers for services rendered to you
• Personal injury or death arising from the Healthcare Professional or Provider’s gross negligence or wilful misconduct.

By agreeing to this, You are to indemnify, defend, and hold harmless KolakerApps Inc., its employees, officers, directors, agents, and representatives from any and all third-party claims, liability, damages, and/or costs arising from your use of the Platforms or breach of the terms.

INTELLECTUAL PROPERTY RIGHTS

All logos, images, trademarks, service marks, and materials whether registered or unregistered are the intellectual property of the company. Any unauthorized use, copy, reproduction, republication, or distribution of company property shall be prosecuted to the fullest extent of the law including but not limited to criminal activity.

Governing law and dispute resolution

This Agreement shall be governed by and construed in accordance with the laws of the Philippines. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof shall be settled by arbitration in the Philippines by a panel of three (3) arbitrators in accordance with the Philippine Dispute Resolution Center, Inc. (“PDRCI”) Arbitration Rules as at present in force. Should interim judicial relief be necessary for connection with this Agreement, the parties may seek appropriate relief before the courts of Pasig City to the exclusion of other venues.

Changes to These Terms and Conditions

KolakerApps Inc. reserves the right to modify or replace these Terms at any time. If a revision of the material is made we will make reasonable efforts to provide at least 30 days notice prior to any new terms taking effect.
